A society is an organization of multiple people who get together to debate, rule, and act collectively for a common goal. Society frequently arises to further philanthropic activities such as sports, music, culture, religion, art, education, etc.

Society Registration in India is governed by the Society Registration Act, which establishes certain society registration and operation processes. This legislation was enacted to supplement the legal requirements for society registration for the growth of literature, fine arts, science, or the dissemination of awareness for numerous reasons. Several state governments have approved the Society Registration Act of 1860, either without or with minor changes.

What is Society Registration?

A society is a group of many persons who have a common interest. Individuals in the group focus on governing and taking initiative to achieve a common objective. In India, the Society Registration Act, 1860 controls the registration and operation of societies. The societies are registered and managed under the aforementioned regulations to improve the humanities, sciences, literature, or knowledge sharing for a good cause or with a goal. A society must register in order to function properly.

The Purpose of Society Registration

A society can be formed for the advancement of fine arts, science, or literature, for the dissemination of meaningful information or for charity purposes of political education. A society registration can be done for the following reasons, according to Section 20 of the Society Act of 1860:

  • The promotion of the beautiful arts.

  • Political education is being disseminated.

  • Charitable aid is provided.

  • Science and literary promotion.

  • Military orphan funds are established.

  • Upkeep or establishment of galleries or public museums.

  • The upkeep or establishment of reading rooms or libraries.

  • Promotion, dissemination, or education in beneficial information.

  • Natural history collections.

  • Mechanical and philosophical innovations, designs, or instruments in collections.

Registration of a Society In India:

A society can be formed by a group of seven or more people. Apart from Indian citizens, businesses, foreigners, and other registered societies can also apply for the society's Memorandum of Association.

Society, like Partnership businesses, can be either unregistered or registered. However, only registered societies can endure assigned properties and/or have an ensemble filed against or by the society.

State governments are in charge of society registration. As a result, the application for society registration must be made to the specific authority of the state in where the society's registered office is located.

 

To register a society, the founding members must first agree on a name for the society and then draft the Memorandum, followed by the society's Rules and Regulations.

Naming Procedure

It is critical to note that a same or similar name to that of a presently registered society will not be permitted under the Society Act of 1860. Furthermore, the proposed name shall neither solicit sponsorship from the state government or the government of India, nor shall it violate the terms of the Emblem & Names Act, 1950.

Memorandum of Association

The Memorandum of Association of the Society, as well as the Rules and Regulations of the Society, must be signed by every founding member and witnessed by a Gazette Officer, Notary Public, Chartered Accountant, Oath Commissioner, Advocate, Magistrate first-class, or Chartered Accountant, with their official stamping and full address.

The name of the society and the aim of the society must be included in the memorandum. It also includes information on members of the society's registration, such as their names, residences, designations, and jobs. For registration, the following documents must be created, presented, and signed:

  • Requesting society registration by submitting a cover letter signed by all founding members.

  • Duplicate and certified copy of the society's Memorandum of Association.

  • Duplicate copy of the society's Rules and Regulations, as well as a duplicate copy signed by all founding members.

  • Address verification of the society's registered office, as well as a landlord's no-objection certificate (NOC).

  • Affidavit signed by the secretary or president of the society declaring the link between subscribers.

  • A few minutes of the meeting on the registration of the society, as well as the provision of certain necessary papers.

Online Registration for Societies

The Act requires that the online society registration be completed in a step-by-step manner. A society must meet the following standards in order to be registered:

  • Members:  A state society must have at least seven members and at least eight members from at least eight different states (including one from Delhi).

  • Jurisdiction: The appropriate jurisdiction is where the society's registered office is located. in front of the district registrar for that specific region.

  • Regulating Act:  The Societies Registration Act of 1986 oversees the procedure of registering a society.

  • Property management: The registered society's property is owned in its name and may be sold in accordance with the terms stipulated in its bylaws.

  • Dissolution: In the event of dissolution, the registered society must pay off all obligations and liabilities and distribute any residual cash to other organizations with comparable goals. The enjoyment will never be shared by the members.

  • Annual Compliance: Societies must provide to the Registrar of Societies an annual list of the names, addresses, and employment held by members of their managing committee.

Society Registration Compliances After Registration

Following the registration of a society, a trust must conduct the following actions:

  • Obtain a PAN card

  • Create a bank account

  • Bookkeeping and accounting

  • GST registration, if applicable; professional tax registration, if necessary.

  • Following the criteria of the Registrar of Firms - An AGM resolution, financial information, and a member list must all be filed with the Registrar of Firms.

Tax Exemption Application

There is a widespread perception that because society works for the general welfare of the population, it is unnecessary for them to pay taxes. This is not true. A society, like any other lawful organization, must pay taxes. To be exempt from paying taxes, a society must get a certificate of completion from income tax officials for all applicable exclusions, such as Section 12 A, 80G, and so on.
